1. Legal Disclaimer and Limitation of Liability
The Website, our services, and all content are provided on an "as is" and "as available" basis. The Ceardach disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. While we strive to maintain the security and uptime of client websites under our Managed Maintenance Plan, The Ceardach shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from:
(i) your access to or use of, or inability to access or use, the Website or services
(ii) any conduct or content of any third party on the Website
(iii) any unauthorised access, use, or alteration of your transmissions or content.

2. Eligibility and User Account
2.1. Eligibility: The Website and services are intended for users who are at least 18 years old and capable of entering into legally binding contracts. By using the Website, you represent and warrant that you meet this eligibility requirement.
2.2. Account Responsibility: If you create an account, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.

3. Agency Services and Subscriptions
3.1. Service Offerings: The Ceardach offers bespoke website design and a mandatory subscription-based Managed Maintenance Plan (the "Subscription"). Detailed scope, deliverables, and specific terms relating to the Complimentary Website Build are outlined in a separate Statement of Work (SOW) provided upon engagement. 3.2. Subscription Fees: The Subscription fee (currently £99 per month, or as per any active promotion) covers hosting, security monitoring, software updates, and data retention services. These fees are billed monthly in advance.
3.3. Payment Methods: We accept payment via major credit cards (Visa, Mastercard, Amex) and bank transfer. All payments must be processed via the designated payment gateway integrated into the Website or invoicing system.
3.4. Referral Program: Participation in any referral program is strictly governed by the separate "Refer-a-Friend Terms & Conditions" document, which the Referrer and the Referred Client must agree to.

4. Payment, Suspension, and Termination
4.1. Billing: You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Website or for Subscription fees.
4.2. Right to Suspend or Cancel: The Ceardach reserves the right, without notice and at our sole discretion, to suspend or terminate any user account or client Subscription, or to refuse any and all current or future use of the services, for reasons including, but not limited to: (i) failure to pay any due fees; (ii) breach of these Terms; (iii) fraudulent or illegal activities; or (iv) actions that threaten the security or integrity of our network or other clients.
4.3. Late Payments: Failure to pay Subscription fees within seven (7) days of the due date may result in the immediate suspension of website hosting and maintenance services. Restoration of services is subject to payment of all outstanding fees and a potential reconnection charge.

5. Intellectual Property and Copyrights
5.1. Website Content: All content on the Website, including text, graphics, logos, images, and software, is the property of The Ceardach or its content suppliers and is protected by copyright and intellectual property laws.
5.2. Client Deliverables: Upon completion of the Complimentary Website Build and full payment of any customisation fees, the client is granted a non-exclusive, perpetual, worldwide license to use the delivered website design and content for the sole purpose of operating their business. The Ceardach retains the intellectual property rights to any underlying code, framework, or proprietary development tools used in the build.
5.3. Restrictions: You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Website or services without express written permission from The Ceardach.

6. Shop and E-Commerce Provisions
6.1. Product Descriptions: We attempt to be as accurate as possible in describing products (e.g., branding kits, templates, custom assets) available in the Shop. However, we do not warrant that product descriptions are accurate, complete, reliable, current, or error-free.
6.2. Pricing and Payment: All prices are subject to change without notice. The total price of your order, including VAT (if applicable) and shipping (if physical goods are sold), will be displayed at checkout.
6.3. Digital Goods (No Refund): Purchases of digital goods (e.g., templates, reports) are generally non-refundable once the file has been downloaded or access has been granted, due to the nature of the product. 6.4. Delivery: Delivery of digital goods will be immediate upon successful payment.

7. Privacy Policy Reference
Your submission of personal information through the Website is governed by our Privacy Policy. By agreeing to these Terms, you acknowledge that you have read and consent to our Privacy Policy, which outlines how we collect, use, and protect your data, including payment information.

8. Modifications to Terms and Offerings
The Ceardach reserves the right, at our sole discretion, to modify or replace these Terms at any time. We will provide reasonable notice of any material changes.
Furthermore, we reserve the right to modify, change, discontinue, or update any services, Subscription offerings, pricing, or products sold in the Shop at any time without liability to you or any third party. Continued use of the Website and services after any such changes constitutes your acceptance of the new Terms and changes to the offerings.

9. Governing Law
These Terms shall be governed and construed in accordance with the laws of Scotland, United Kingdom, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Scotland to resolve any legal matter arising from these Terms.

The Ceardach "New Year New Idea" Promotional Terms & Conditions

These terms and conditions apply to The Ceardach's "New Year New Idea" limited-time offer (the "Promotion").
1. Promotion Eligibility
1.1. The Promotion is available only to new clients who sign a Managed Maintenance Plan contract during the specified promotional period of December 1st 2025 to January 31st 2025
1.2. Clients must successfully accept and proceed with the Complimentary Website Build offer (the "£0 Build") as part of the sign-up.

2. Promotional Rate Structure
2.1. The promotional rate for the Managed Maintenance Plan will be £49.99 per month for the first three (3) full calendar months of service .
2.2. This introductory rate applies only to the monthly maintenance and hosting fees. Any additional services, customizations, or required upfront payments are billed separately at the standard rate.
2.3. Starting on the first day of the fourth (4th) full calendar month following the start date of the service, the monthly fee will automatically revert to the standard rate of £99.00 per month.

3. Contractual Obligation
3.1. All clients enrolling under this Promotion are required to adhere to the standard minimum service term outlined in The Ceardach's primary service agreement.
3.2. Termination of the service agreement by the client during the Promotional Period or within the standard minimum service term will result in the client being responsible for the outstanding balance of the full standard fee (£99) for any months they received the promotional rate.

4. Referral Scheme Integration
4.1. Clients signing up under the New Year New Idea Promotion are eligible to participate in the "Refer-a-Friend" scheme, subject to the separate terms and conditions of that program.
4.2. For clarification, the value of the Referrer's reward will be based on the standard fee (£99), regardless of the promotional rate they are currently paying.

5. Termination of Promotion
5.1. The Company reserves the right to modify or terminate this Promotion at any time without prior notification. However, clients who have already signed a contract under this Promotion will retain the agreed-upon rate structure.

The Ceardach Referral Program Terms & Conditions

These terms and conditions govern the participation in the "Refer-a-Friend" program operated by The Ceardach (the "Company").
1. Eligibility
1.1. The referring client (the "Referrer") must hold an active, paid Managed Maintenance Plan with the Company at the time the referral is made and at the time the credit is issued.
1.2. The referred client (the "Referred Client") must be a new client to The Ceardach and must sign up for the standard Managed Maintenance Plan.

2. Referral Criteria
2.1. The Referrer must formally submit the Referred Client’s details including but not limited to; their name, business name, contact details. These must be submitted to the Company via the official referral submission form or a confirmed email prior to the Referred Client entering into a contract with The Ceardach.
2.2. Referrals submitted after the Referred Client has initiated contact or signed a contract will not be eligible for the reward.
2.3. The Complimentary Website Build offer (the "£0 Build") must be accepted by the Referred Client as part of their sign-up.

3. The Reward
3.1. The Referrer will receive a credit equivalent to three (3) months of their standard Managed Maintenance Plan fee (currently £99 per month, totaling £297) upon fulfillment of all qualifying conditions. 3.2. The credit will be applied consecutively to the Referrer's account following the Qualification Date (defined below) and will cover three future monthly invoices. 3.3. Rewards have no cash value and are non-transferable. No cash alternative will be offered.

4. Qualification and Fulfillment
4.1. The Referred Client must successfully activate their Managed Maintenance Plan and maintain the service for a minimum, uninterrupted period of six (6) full calendar months (the "Qualification Date"). 4.2. If the Referred Client cancels their service, fails to pay their monthly fee, or terminates the contract for any reason before completing the six-month period, the Referrer's reward qualification will be voided. 4.3. The credit will be issued and applied to the Referrer's account within 30 days of the Qualification Date.

5. General Conditions
5.1. The Company reserves the right to terminate or amend this program at any time without prior notice. 5.2. Participation in this program constitutes the Referrer’s full and unconditional agreement to these Terms and Conditions.
